Terms of Service

1. General Provisions


1.1. These Rules (hereinafter referred to as the “Rules“) establish the general terms and conditions for using the Soulel online store located at www.soulelhealth.com (hereinafter referred to as the “Soulel Store” or “e-store“). The Rules apply when a Buyer selects, orders, and purchases goods offered by Soulel Store or otherwise utilizes the services provided by Soulel Store.


1.2. Soulel Store is an online retail store oriented towards consumers purchasing goods for personal, family, household needs unrelated to business or profession.


1.3. The sale of goods in Soulel Store is organized, conducted, and related services are provided to the Buyer by UAB “Soulel“, registered office address: Vytauto 2-5, Vilnius, legal entity code 302796339 (hereinafter referred to as the “Seller“).


1.4. A Buyer under these Rules is any person purchasing goods in Soulel Store or otherwise using other services provided by Soulel Store (hereinafter referred to as the “Buyer“). The right to use Soulel Store and purchase therein is granted to (a) capable natural persons, i.e., individuals of legal age, whose legal capacity is not restricted by court order, and (b) legal entities acting through authorized representatives, registered in Soulel Store according to the Rules. To make a purchase in Soulel Store, the Buyer fills out a registration form. The registration carried out by the Buyer in Soulel Store results in the creation of a Buyer Account. An Account is the result of the Buyer’s registration in Soulel Store, which creates a personal section for the Buyer in the e-store, containing their personal data, message history, and order history.


1.5. By using the e-store and placing orders therein, the Buyer confirms that they are familiar with these Rules and agrees unconditionally and irrevocably to abide by the rights and obligations set forth therein. The Buyer, if unwilling to accept and comply with all obligations specified in these Rules, does not have the right to use the e-store, register an Account, and purchase Goods therein.


1.6. Along with the Buyer’s order for goods, these Rules become a contract concluded between the Buyer and the Seller and are a legally binding document for both parties. The purchase-sale agreement for the specific Goods is considered concluded from the moment the Buyer, in the e-store, adds items to the shopping cart, indicates the delivery address or registers for an Account, selects a payment method, and confirms familiarity with these Rules, confirming the order of Goods and paying for them in accordance with these Rules.


1.7. The Seller reserves the right to change, amend, or supplement the Rules. The Rules applicable to the Buyer when shopping at Soulel Store are those in force at the time of placing the order, so the Buyer is recommended to familiarize themselves with the Rules during each shopping session.


1.8. The Seller assumes no risk or responsibility and is unconditionally released from it if the Buyer has not fully or partially familiarized themselves with the Rules, despite being given the opportunity to do so.


1.9. Taking into account the technical capabilities of the Soulel Store system, the Seller has the right to limit the number of registered Buyers.


1.10. The Seller reserves the right, without prior notice, to restrict the Buyer’s use of Soulel Store services or to cancel the Buyer’s registration if the Buyer violates these Rules while using Soulel Store, attempts to harm the stability and/or security of Soulel Store operations.


1.11. Considering Clause 1.2 of the Rules and aiming primarily to satisfy the needs of retail consumers, the Seller reserves the right to restrict purchases having wholesale purchase attributes, i.e., the Seller has the right to refuse to accept and/or fulfill the Buyer’s order(s) when the Buyer orders unusually large quantities of goods in retail (regardless of whether the goods are ordered in one order or in several orders within a relatively short period) and/or when the Buyer’s order(s) has/have other wholesale purchase attributes.


1.12. In significant circumstances, the Seller may temporarily or completely terminate the operation of Soulel Store without prior notice to the Buyer.


2. Registration and Personal Data Processing


2.1. By using the Soulel Store, the Buyer, by creating an Account and purchasing goods offered in the Soulel Store, confirms that they are a capable natural person and/or lawfully represent a third party on whose behalf they act, and undertakes to provide their correct email address and contact telephone number, other contact information necessary for using the e-store as a registered user or for formulating and executing a Product order. Registration using third-party data is prohibited in the e-store.


2.2. The Buyer is responsible for ensuring that the data provided in the registration form and/or order are accurate, correct, and complete. If the Buyer’s data provided in the registration form and/or order changes, the Buyer must immediately update it. The Seller is not responsible for any consequences arising out of incorrect, incomplete, or inaccurate data provided by the Buyer or failure to update such data.


2.3. By registering an Account, the Buyer confirms that they are familiar with the Privacy Policy and agree to the processing of personal data specified therein.


2.4. The Seller undertakes not to disclose the Buyer’s personal data to third parties except as specified in the Privacy Policy and only in cases where it is necessary for the proper fulfillment of the Buyer’s order or the provisions of other services provided by the e-store.


3. Product Information and Order Placement


3.1. The Soulel Store presents information about the goods, including descriptions, prices, and availability of goods in stock. Product prices in the Soulel Store are indicated in euros and include value-added tax (VAT).


3.2. Product images in the Soulel Store are illustrative and may differ from the actual appearance of the product. The specific characteristics of the product, such as color, size, or other parameters, are described in the product descriptions.


3.3. To place an order in the Soulel Store, the Buyer adds the desired goods to the shopping cart, specifies the delivery address, selects the preferred delivery and payment method, and confirms the order. By confirming the order, the Buyer agrees to purchase the selected goods under the conditions specified in these Rules.


3.4. After receiving the order, the Seller sends an order confirmation to the Buyer’s provided email address. The order confirmation includes information about the ordered goods, their prices, the total order amount, delivery address, and other relevant details.


3.5. If, after confirming the order, the Seller is unable to fulfill it (for example, due to the goods being out of stock), the Seller informs the Buyer accordingly and refunds any payments made for the unavailable goods.


3.6. The Seller reserves the right to cancel an order in cases where the Buyer has provided inaccurate, incomplete, or misleading information, or in other cases specified in these Rules.


4. Delivery and Acceptance of Goods


4.1. The Seller delivers the ordered goods to the address specified by the Buyer when placing the order. Delivery methods, costs, and estimated delivery times are specified in the Soulel Store and agreed upon by the Buyer when placing the order.


4.2. The Buyer is responsible for ensuring the accuracy and completeness of the delivery address provided. If the delivery cannot be completed due to inaccurate or incomplete address details provided by the Buyer, the Seller is not responsible for any resulting delays or additional costs.


4.3. The Buyer or their authorized representative must accept the delivered goods at the specified delivery address. Upon delivery, the Buyer or their representative must inspect the goods for any visible damage or defects and, if necessary, notify the Seller immediately.


4.4. Ownership of the goods and the risk of damage or loss pass to the Buyer upon delivery and acceptance of the goods.


5. Payment Terms


5.1. The Buyer can pay for the ordered goods using the payment methods specified in the Soulel Store. Payment methods may include bank transfers, credit/debit card payments, electronic payment systems, or other methods agreed upon by the Seller.


5.2. The Buyer must make payment for the ordered goods in full, including any applicable delivery charges, at the time of placing the order, unless otherwise agreed upon with the Seller.


5.3. If the Buyer fails to make payment for the ordered goods within the specified time frame or using the specified payment method, the Seller reserves the right to cancel the order.


6. Returns and Refunds


6.1. The Buyer has the right to return the ordered goods and request a refund within the time frame specified in the Soulel Store’s Return Policy, provided that the goods are unused, undamaged, and in their original packaging.


6.2. To initiate a return and request a refund, the Buyer must contact the Seller and provide relevant details about the order and the reason for the return. The Seller may require additional information or documentation to process the return request.


6.3. Upon receiving a return request and verifying that the conditions for return and refund are met, the Seller will issue a refund to the Buyer using the same payment method used for the original transaction, unless otherwise agreed upon with the Buyer.


6.4. The Seller reserves the right to refuse returns and refunds for goods that do not meet the conditions specified in the Return Policy or for other valid reasons specified in these Rules.


7. Liability and Dispute Resolution


7.1. The Seller is liable to the Buyer for any defects or non-conformities of the goods with the terms of the purchase-sale agreement in accordance with applicable laws and regulations.


7.2. Any disputes or disagreements between the Buyer and the Seller arising out of or in connection with the purchase-sale agreement or these Rules shall be resolved through negotiations in good faith. If a mutual agreement cannot be reached, the dispute may be referred to the competent court in accordance with applicable laws and regulations.


7.3. The Seller’s liability for damages arising out of or in connection with the purchase-sale agreement or these Rules is limited to the amount paid by the Buyer for the relevant goods.


7.4. The Buyer is responsible for any damages caused by their actions or omissions in violation of these Rules or applicable laws and regulations.


8. Final Provisions


8.1. These Rules, along with the purchase-sale agreement concluded between the Buyer and the Seller, constitute the entire agreement between the parties regarding the use of the Soulel Store and the purchase of goods therein.


8.2. These Rules are governed by and construed in accordance with the laws of the Republic of Lithuania. Any disputes arising out of or in connection with these Rules shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania.


8.3. If any provision of these Rules is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.


8.4. The Seller reserves the right to amend or modify these Rules at any time without prior notice. The updated version of the Rules will be published on the Soulel Store’s website and will be effective immediately upon publication.


8.5. These Rules are effective as of [date of publication] and replace any previous versions of the Rules.
